These Terms & Conditions ("Terms") govern your access to and use of the NexisDigital website at nexisdigital.tech and any related services (the "Services"). The website is operated by NexisDigital ("NexisDigital", "we", "us", "our"), registered under Business Identification Number (BIN) 031105651391 in the Republic of Kazakhstan and serving clients internationally. By accessing or using the website you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the website or Services.
2. Definitions
"Services" means our website and the web development, AEO, SEO, and related design/engineering services we provide. "Client" means a person or entity that engages us under a separate agreement. "MSA" means a Master Service Agreement and "SOW" a Statement of Work, which together set the specific commercial terms of an engagement. "Content" means text, graphics, logos, code, and other materials on the website.
3. The Website and Our Services
The website is an informational and marketing platform describing our capabilities. Information on it is provided in good faith for general purposes and does not constitute professional, legal, or financial advice. Actual project work is delivered only under a separate, signed MSA and/or SOW that define scope, deliverables, timelines, fees, and responsibilities. We may modify, suspend, or discontinue any part of the website at any time without liability.
4. Enquiries and No Binding Offer
Descriptions, pricing indications, or statements on the website are invitations to discuss and do not constitute a binding offer. Submitting the contact form or otherwise reaching out creates no contract and no obligation on either party. A binding agreement arises only when the parties execute an MSA or SOW. You agree that any information you submit through the contact form is accurate and that you have the right to share it.
5. Intellectual Property
All Content on this website — including the NexisDigital name, the octopus logo and brand assets, text, design, and source code — is owned by or licensed to NexisDigital and protected by intellectual-property laws. You may not copy, reproduce, modify, distribute, or create derivative works from it without our prior written permission, except for normal browsing. For client engagements, intellectual-property ownership of project deliverables (including source code and AEO/SEO structures we create for that project) transfers to the Client upon full payment as set out in the applicable SOW; until then, all rights remain with us.
6. Acceptable Use
You agree not to: use the website unlawfully or in breach of these Terms; attempt to gain unauthorised access to, disrupt, or compromise the website, its servers, or connected systems; scrape, data-mine, or harvest content or personal data; introduce malware; reverse-engineer any part of the site except as permitted by law; or use the site to infringe others' rights or send spam. We may restrict or terminate your access if you breach these Terms.
7. Third-Party Links and Services
The website links to and integrates third-party services, including Instagram, WhatsApp, and the Web3Forms contact-form service. We do not control these platforms and are not responsible for their content, availability, or practices. Your use of them is governed by their own terms and privacy policies.
8. Disclaimer of Warranties

For any engagement governed by an SOW, our total aggregate liability is limited to the amount actually paid by the Client under that SOW. These limits do not apply to liability that cannot be limited under applicable law (such as for death or personal injury caused by negligence, fraud, or where mandatory consumer law provides otherwise).
10. Indemnification
You agree to indemnify and hold harmless NexisDigital and its personnel from any claims, damages, losses, and reasonable expenses arising from your misuse of the website, your violation of these Terms, or your infringement of any law or third-party right.

12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Kazakhstan, without regard to conflict-of-law rules. Subject to any mandatory consumer-protection laws of your country of residence, the courts of the Republic of Kazakhstan shall have jurisdiction over any dispute arising from these Terms or your use of the website. Where required, disputes with clients may instead be resolved as set out in the applicable MSA (including by arbitration). Nothing here deprives a consumer of protections that cannot be waived under the mandatory law of their country.

We may update these Terms from time to time. The "Last updated" date above indicates the current version, and material changes take effect when posted. Your continued use of the website after changes are posted constitutes acceptance of the revised Terms.
14. Severability and Entire Agreement

These Terms, together with our Privacy Policy and any signed MSA/SOW, constitute the entire agreement between you and NexisDigital regarding the website and supersede prior understandings on that subject.
